End User License Agreement (EULA)
Effective Date: March 1, 2026
This End User License Agreement ("Agreement") is a legal agreement between ARA technology ("we", "us") and you ("User") regarding the use of WhisperApp ("the Software"). By installing or using the Software, you agree to be bound by this Agreement.
Article 1 (Definitions)
- "License Key" means a code issued by us that certifies the User's right to use the Software.
- "Activation" means the process of enabling the Software's usage rights using a License Key and Machine Code.
- "Machine Code" means an identification code generated from the hardware information of the User's computer.
- "Update Period" means 6 months from the purchase date for the Standard edition, or 1 year for the Pro edition.
- "Trial Version" means a time-limited version available for free use before purchase.
Article 2 (License Grant)
- We grant the User a non-exclusive, non-transferable, non-sublicensable license to use the Software.
- This license covers both personal and commercial use.
- One License Key may be installed and used on up to 2 computers owned or controlled by the User.
- Migration to a different computer (re-registration) is allowed up to 3 times per year.
- Regarding hardware changes, if 2 or more of 5 hardware identifiers match, the computer is treated as the same machine.
Article 3 (Trial Version)
- The Trial Version provides access to all Pro features free of charge for 7 days from installation. Internet connection is required at each startup during the trial period.
- After the trial period expires, a license purchase is required to continue using the Software.
- The Trial Version is limited to one use per user.
Article 4 (Updates)
- During the Update Period, all updates including new features are provided at no additional cost.
- After the Update Period expires, the Software continues to function as-is.
- Applying feature updates after the Update Period requires payment of a renewal fee.
- Security fixes and bug fixes are provided regardless of the Update Period.
Article 5 (Restrictions)
The User shall not:
- Copy, redistribute, resell, or sublicense the Software
- Reverse engineer, decompile, or disassemble the Software
- Circumvent, disable, or tamper with the license verification mechanism
- Disclose, share, or transfer the License Key to third parties
- Modify, adapt, or create derivative works from the Software
- Use the Software in violation of applicable laws
Article 6 (Intellectual Property)
- All intellectual property rights in the Software, including source code, object code, design, and documentation, belong to us.
- This Agreement does not transfer ownership of the Software to the User.
Article 7 (Third-Party Components)
- The Software includes third-party components licensed under open source licenses.
- These components are governed by their respective open source licenses, and the restrictions in Article 5 do not apply to them.
- A list of third-party components and their license information is included in THIRD_PARTY_LICENSES.txt bundled with the Software.
Article 8 (Warranty Limitations)
- We make reasonable efforts to ensure the Software functions according to its specifications.
- If the Software has defects (bugs, etc.), we will address them through corrective updates.
- However, the following are excluded from warranty:
- Issues caused by the User's environment
- Problems arising from interaction with third-party software
- Issues caused by modifications made by the User
Article 9 (Limitation of Liability)
- For damages caused by our ordinary negligence, our liability shall be limited to the amount the User paid for the Software.
- The limitation in the preceding paragraph does not apply to damages caused by our intentional misconduct or gross negligence.
- We do not guarantee the accuracy of transcription results, AI analysis outputs, or other content generated by the Software. The User shall verify and validate output results at their own responsibility.
Article 10 (Termination)
- We may terminate this license if the User violates any terms of this Agreement.
- The User may terminate this Agreement at any time by deleting all copies of the Software.
- Upon termination, the User shall promptly delete all copies of the Software.
Article 11 (Governing Law and Jurisdiction)
- This Agreement is governed by and construed in accordance with the laws of Japan.
- The Tokyo District Court shall have exclusive jurisdiction in the first instance for any disputes relating to this Agreement.
Article 12 (Severability)
If any provision of this Agreement is found to be invalid or unenforceable, the validity of the remaining provisions shall not be affected.
Article 13 (Amendment)
- If we amend this Agreement, we will post the changes on the Site and provide reasonable advance notice.
- Continued use of the Software after the amendment constitutes acceptance of the changes.
